Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Assembly Labs Inc., a Delaware corporation ("Assembly Labs," "Ordinal," "we," "us," or "our"), governing your access to and use of the Ordinal platform, including our website at tryordinal.com, web application at app.tryordinal.com, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.


1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.


2. Account Registration

2.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

2.2 Workspace and Team Access

The Service operates on a workspace model. You may invite other users to your workspace, and you are responsible for ensuring that all users in your workspace comply with these Terms. Workspace administrators are responsible for managing user access and permissions.


3. Service Description

Ordinal is a social media management platform that enables you to:

  • Create, schedule, and publish content across multiple social media platforms
  • Connect and manage social media accounts (including LinkedIn, Twitter/X, Instagram, Facebook, TikTok, YouTube, Threads, and others)
  • Collaborate with team members on content creation and approval workflows
  • Track analytics and engagement metrics for published content
  • Automate engagement activities on connected accounts

The specific features available to you depend on your subscription plan.


4. Subscription Plans and Billing

4.1 Plans and Pricing

We offer various subscription plans with different features and limitations. Current pricing and plan details are available at tryordinal.com/pricing. We reserve the right to modify our pricing and plans at any time, with notice to existing subscribers before changes affect their next billing cycle.

4.2 Free Trial

We may offer a free trial period. During the trial, you will have access to certain Service features. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue free trials at any time.

4.3 Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle
  • All fees are stated in U.S. dollars unless otherwise specified
  • You authorize us to charge your designated payment method for all applicable fees
  • You are responsible for providing accurate and current payment information

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@tryordinal.com.

4.5 No Refunds

All fees are non-refundable. This includes, without limitation, situations where you cancel your subscription, we terminate your account for breach of these Terms, or you are dissatisfied with the Service. Upon cancellation, you will continue to have access to the Service through the end of your current billing period.

4.6 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales, use, VAT, GST, and similar taxes, excluding taxes based on our net income.


5. Social Media Account Connections

5.1 Authorization

To use certain features of the Service, you must connect your social media accounts through OAuth or similar authentication protocols. By connecting an account, you:

  • Authorize Ordinal to access and interact with your social media accounts on your behalf
  • Represent that you have the right to grant such access
  • Acknowledge that your use of connected platforms remains subject to those platforms' terms of service

5.2 Platform Compliance

You are solely responsible for ensuring that your use of the Service complies with the terms of service, community guidelines, and policies of each connected social media platform. We do not guarantee that the Service will always be compatible with third-party platforms, which may change their APIs or policies at any time.

5.3 Disconnection

You may disconnect your social media accounts at any time through the Service. Disconnecting an account will prevent future scheduled posts from publishing to that account but will not delete previously published content from the social media platform.


6. Your Content

6.1 Ownership

You retain all ownership rights in the content you create, upload, or publish through the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Ordinal

By using the Service, you grant Ordinal a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and distribute Your Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete Your Content or your account, except for content that has been shared with others or published to third-party platforms.

6.3 Content Responsibility

You are solely responsible for Your Content, including its legality, reliability, and appropriateness. You represent and warrant that:

  • You own Your Content or have the necessary rights to use it
  • Your Content does not infringe any third party's intellectual property, privacy, or other rights
  • Your Content complies with all applicable laws and these Terms

6.4 Content Restrictions

You agree not to create, upload, or publish content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Infringes any patent, trademark, copyright, trade secret, or other intellectual property rights
  • Contains software viruses or any other code designed to interrupt, destroy, or limit functionality
  • Constitutes spam, unauthorized advertising, or promotional materials
  • Impersonates any person or entity or misrepresents your affiliation
  • Violates the privacy or publicity rights of any third party
  • Violates any applicable law or regulation

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, to be objectionable.


7. Acceptable Use

7.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for internal business and personal use in managing social media presence.

7.2 Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to transmit any material that is unlawful, harmful, or objectionable
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Copy, modify, or create derivative works of the Service
  • Rent, lease, lend, sell, sublicense, or transfer access to the Service
  • Use the Service to develop a competing product or service
  • Use automated means (bots, scrapers, etc.) to access the Service except through our official APIs
  • Circumvent any rate limits, access controls, or security measures
  • Remove or alter any proprietary notices or labels on the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks

7.3 API Usage

If you access the Service through our API, you must comply with our API documentation and any applicable rate limits. We reserve the right to revoke API access for violations of these Terms or excessive usage.


8. Intellectual Property

8.1 Ordinal's Rights

The Service, including all software, designs, text, graphics, interfaces, and other content (excluding Your Content), is owned by Assembly Labs or our licensors and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited license to use the Service as expressly permitted herein.

8.2 Trademarks

"Ordinal," "Assembly Labs," and related logos and names are trademarks of Assembly Labs Inc. You may not use our trademarks without our prior written consent.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.


9. Third-Party Services

9.1 Integrations

The Service integrates with third-party platforms and services, including social media platforms, payment processors, and analytics providers. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

9.2 Third-Party Links

The Service may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for the content, products, or services offered by third parties.

10. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


11. DMCA and Copyright Policy

11.1 Reporting Infringement

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Service infringes your copyright, please send a notice to our designated agent containing:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material and its location on the Service
  • Your contact information (address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner

11.3 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification with the required information under the DMCA. We will process counter-notifications in accordance with applicable law.

11.4 Repeat Infringers

We reserve the right to terminate accounts of users who are repeat infringers.


12. Disclaimers

12.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will be compatible with any third-party platforms indefinitely

12.3 Third-Party Platforms

We are not responsible for any changes to third-party platforms that may affect the Service's functionality, including changes to APIs, terms of service, or platform availability.

12.4 Beta Features

We may offer beta or experimental features. These features are provided "as is" without any warranties, and we may discontinue them at any time without notice.


13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASSEMBLY LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any other matter relating to the Service

13.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13.3 Basis of the Bargain

The disclaimers and limitations in Sections 12 and 13 reflect a reasonable allocation of risk and are a fundamental basis of the agreement between you and Assembly Labs. The Service would not be provided without these limitations.


14. Indemnification

You agree to indemnify, defend, and hold harmless Assembly Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Your violation of any applicable law or regulation

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at support@tryordinal.com to attempt to resolve any dispute informally. We will attempt to resolve disputes through informal negotiation within sixty (60) days from the date you contact us.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Assembly Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court.

Arbitration shall be conducted by a mutually agreed-upon arbitration provider. If the parties cannot agree on a provider within thirty (30) days, either party may petition a court of competent jurisdiction to appoint an arbitrator.

The arbitration shall be conducted in English and shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND ASSEMBLY LABS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you and Assembly Labs each waive any right to a jury trial.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@tryordinal.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration agreement.


16. Term and Termination

16.1 Term

These Terms are effective when you first access or use the Service and continue until terminated.

16.2 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us to delete your account. Upon termination, your right to use the Service will immediately cease.

16.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Breach of these Terms
  • Non-payment of fees
  • Requests by law enforcement or government agencies
  • Discontinuance or material modification of the Service
  • Unexpected technical or security issues
  • Extended periods of inactivity

16.4 Effect of Termination

Upon termination:

  • Your license to use the Service terminates immediately
  • We may delete your account and Your Content after a reasonable period
  • You remain liable for all fees incurred prior to termination
  • Sections that by their nature should survive will survive termination, including Sections 6.2, 8, 12, 13, 14, 15, and 17

17. General Provisions

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

17.2 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Assembly Labs regarding the Service and supersede all prior agreements and understandings.

17.3 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated through the Service or via email. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.

17.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

17.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.7 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Assembly Labs.

17.9 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
